2.4 If you are using the Website on behalf of a business or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.
3. Eligibility
3.1 The Website is intended for users who are at least 18 years of age. By using the Website, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3.3 Some venues listed on our Website may have age restrictions (including for gaming areas and alcohol service). You are responsible for ensuring you meet all applicable age requirements before visiting any venue.
4. Description of Services
4.1 Local Venue provides an online platform that enables users to discover and find information about RSL clubs, hotels, pubs, restaurants, and other hospitality venues in New South Wales, Australia.
4.2 Our Services include, but are not limited to:
(a) Venue directory and search functionality;
(b) Location-based venue discovery using maps and GPS;
(c) Display of venue information including menus, amenities, opening hours, and contact details;
(d) Daily specials and promotional offers from venues;
(e) Information about gaming facilities at venues;
(f) Ratings and reviews of venues;
(g) Event listings and notifications.
4.3 Local Venue acts solely as an information platform. We do not own, operate, manage, or control any of the venues listed on the Website. We are not a party to any transaction or agreement between users and venues.
4.4 We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without notice.
5. User Accounts
5.1 Some features of the Website may require you to create an Account. When creating an Account, you agree to:
(a) Provide accurate, current, and complete information;
(b) Maintain and promptly update your Account information;
(c) Maintain the security and confidentiality of your login credentials;
(d) Accept responsibility for all activities that occur under your Account;
(e) Notify us immediately of any unauthorised use of your Account.

(g) Use any robot, spider, scraper, or other automated means to access the Website for any purpose without our express written permission;
(h) Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
(i) Attempt to gain unauthorised access to, interfere with, damage, or disrupt any parts of the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website;
(j) Use the Website to send unsolicited commercial communications (spam);
(k) Collect or harvest any personally identifiable information from the Website;
(l) Use the Website for any commercial purpose without our prior written consent.
6.2 We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including without limitation, removing the offending Content, suspending or terminating the Account of such violators, and reporting such conduct to law enforcement authorities.

(a) You own or control all rights in and to your User Content;
(b) Your User Content does not violate any third party's intellectual property, privacy, publicity, or other rights;
(c) Your User Content is accurate and not misleading;
(d) Your User Content complies with these Terms and all applicable laws.
7.4 We do not endorse any User Content or any opinion, recommendation, or advice expressed therein. We have no obligation to monitor User Content but may do so at our discretion. We reserve the right to remove, edit, or disable access to any User Content for any reason, without notice.

(a) Any resale or commercial use of the Website or its contents;
(b) Any collection and use of any venue listings, descriptions, or prices;
(c) Any derivative use of the Website or its contents;
(d) Any downloading or copying of account information for the benefit of another party;
(e) Any use of data mining, robots, or similar data gathering and extraction tools.
8.4 Any use of the Website not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.

You acknowledge and agree that Local Venue shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

9.4 The Website may display content provided by venues or third parties, including venue descriptions, menus, prices, photographs, and promotional offers. Such content is provided by the respective venues or third parties and is not verified, endorsed, or guaranteed by Local Venue.
10. Venue Information and Disclaimers
10.1 Local Venue endeavours to provide accurate and up-to-date information about venues, including opening hours, menus, prices, daily specials, amenities, and gaming facilities. However, this information is provided by venues or obtained from publicly available sources, and we cannot guarantee its accuracy, completeness, or currency.
10.2 Venue information, including but not limited to prices, menus, daily specials, opening hours, and availability of facilities, may change without notice. You should verify all information directly with the venue before visiting.
10.3 Ratings and reviews displayed on the Website reflect the opinions of individual users and do not represent the views of Local Venue. We do not verify or endorse any ratings or reviews.
10.4 Local Venue is not responsible for the quality, safety, legality, or any other aspect of any products, services, or experiences provided by venues. Any disputes arising from your visit to a venue must be resolved directly with that venue.
10.5 Gaming Information: Information about gaming facilities is provided for informational purposes only. Local Venue does not promote or encourage gambling. (a) Any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
(b) Any warranties that the Website will be uninterrupted, timely, secure, or error-free;
(c) Any warranties as to the accuracy, reliability, or completeness of any information or content on the Website;
(d) Any warranties that defects will be corrected;
(e) Any warranties that the Website or the server that makes it available are free of viruses or other harmful components.
12.3 Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted, or modified by agreement.
13. Limitation of Liability
13.1 TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LOCAL VENUE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:
(a) Indirect, incidental, special, consequential, or punitive damages;
(b) Loss of profits, revenue, data, use, goodwill, or other intangible losses;
(c) Damages resulting from your access to, use of, or inability to access or use the Website;
(d) Damages resulting from any conduct or content of any third party on the Website;
(e) Damages resulting from unauthorised access, use, or alteration of your transmissions or content;
(f) Damages arising from any products, services, or experiences provided by venues.
13.2 IN NO EVENT SHALL LOCAL VENUE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF ONE HUNDRED AUSTRALIAN DOLLARS (AUD $100) OR THE AMOUNT YOU HAVE PAID TO LOCAL VENUE IN THE PAST TWELVE (12) MONTHS.
13.3 THE LIMITATIONS OF LIABILITY SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN LOCAL VENUE AND YOU.
13.4 Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above exclusions or limitations may not apply to you, and you may have additional rights.
14. Indemnification
14.1 You agree to indemnify, defend, and hold harmless Local Venue and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:
(a) Your violation of these Terms;
(b) Your User Content;
(c) Your use of the Website;
(d) Your violation of any rights of another party;
(e) Your violation of any applicable laws or regulations.
15. Privacy
15.1 Your use of the Website is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
15.2 We collect, use, and disclose personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. Please review our Privacy Policy carefully to understand our practices.

16. Termination

16.3 All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
17. Governing Law and Jurisdiction
17.1 These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of New South Wales, Australia.
17.2 You agree to submit to the exclusive jurisdiction of the courts of New South Wales, Australia, for the resolution of any disputes arising out of or relating to these Terms or your use of the Website.
17.3 Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights.
18. Dispute Resolution
18.1 If a dispute arises out of or relates to these Terms or the Website, the parties agree to first attempt to resolve the dispute through good faith negotiations.
18.2 If the dispute cannot be resolved through negotiations within thirty (30) days, either party may refer the dispute to mediation administered by the Australian Disputes Centre (ADC) in accordance with ADC's mediation guidelines.
18.3 If the dispute is not resolved through mediation within sixty (60) days after the mediator has been appointed, either party may commence court proceedings in accordance with Section 17.
18.4 Nothing in this Section prevents either party from seeking urgent interlocutory relief from a court of competent jurisdiction.
19. General Provisions
19.1 Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices published by us on the Website, constitute the entire agreement between you and Local Venue concerning your use of the Website.
19.2 Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
19.3 Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
19.4 Assignment: You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign our rights under these Terms without restriction.
19.5 No Agency: Nothing in these Terms shall be construed as creating any agency, partnership, joint venture, or employment relationship between you and Local Venue.
19.6 Force Majeure: Local Venue shall not be liable for any failure or delay in performing our obligations where such failure or delay results from any cause beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.
19.7 Headings: The section headings in these Terms are for convenience only and have no legal or contractual effect.
19.8 Electronic Communications: By using the Website, you consent to receive electronic communications from us. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
